Terms of Service

1. Scope

These Terms govern the use of App Rings (the "Service") provided by MEMENTO, LLC ("we"). By using the Service you ("you") agree to these Terms.

2. The Service

The Service aggregates and displays revenue, subscription and install metrics for the apps you offer as a Shopify Partner, based on data obtained from the Shopify Partner API.

3. Accounts

You log in with a Google or GitHub account. You are responsible for your account and must not let others use it.

4. Partner API credentials and data

1. We act as your service provider and, on your behalf, use the Partner API credentials you register to obtain, store and aggregate data.

2. We store the credentials encrypted and use them for no purpose other than providing the Service.

3. We use the data we obtain (including merchant information and any anonymized, aggregated or derived data) solely to provide the Service to you, and we do not sell, share or disclose it to any third party.

4. We do not use the data to create, train or improve machine learning or artificial intelligence systems, nor for benchmarking against other customers.

5. We protect the data at a level at least as protective as the Shopify API License and Terms of Use and the Shopify Partner Program Agreement.

6. You warrant that you are authorized under your agreements with Shopify to register the credentials with the Service.

5. Fees

1. The Service is billed monthly or yearly at a fixed price. Your plan is set automatically from your MRR as calculated by the Service (the 90-day average, summed across all apps in your organization, including stores you exclude from reports). See the Pricing page.

2. Annual billing costs 10 months of the monthly price.

3. When a change in MRR changes your plan, the new price applies from your next invoice.

4. Payment is by credit card through Stripe. Prices include tax: for users in Japan the price includes Japanese consumption tax, and users outside Japan are not charged Japanese consumption tax (tax required by the laws of your country or region may be added). Fees paid are non-refundable except where required by law.

5. For 14 days from the day your organization is first registered (the free period), you can use the Service free of charge regardless of MRR. Registering the same organization again does not restart the free period. After the free period, the Service remains free as long as your MRR is below the paid plans.

6. We may pause the display of reports if your MRR is in a paid plan when the free period ends and you have not subscribed, if you do not subscribe within 14 days of your MRR reaching a paid plan after the free period, or if payment stops (a failed payment, or the end of the paid period after you cancel).

7. You can cancel at any time and keep using the Service until the end of the paid period.

6. Disconnection and deletion

You can disconnect your organization at any time in Settings. We then immediately delete that organization’s data (credentials, obtained data and aggregates) and end any paid subscription (fees paid are not refunded). We keep only the billing determination record (plan, grace deadline and free period) in case the same organization registers again.

7. Prohibited use

You must not violate laws or Shopify’s terms, interfere with the Service, infringe the rights of others, or improperly avoid fees (including by splitting apps across organizations).

8. Disclaimer

Figures in the Service are for analysis and are not intended for accounting, tax or financial reporting. We are not liable when the Service is unavailable due to changes to or suspension of the Shopify Partner API. Except for willful misconduct or gross negligence, our liability is limited to the fees you paid in the preceding 12 months.

9. Changes

We will announce changes to these Terms and their effective date in the Service in advance.

10. Governing law

These Terms are governed by the laws of Japan. The district court having jurisdiction over our head office has exclusive jurisdiction in the first instance.
